Terms and Conditions
Last updated: 26 May 2026
These Terms and Conditions (“Terms”) govern your access to and use of the NorthPoint online learning platform (the “Platform”), operated by Syllogi (“we”, “us”, or “our”). NorthPoint is a service offered by Syllogi and Professional Surveyors Canada. By creating an account, purchasing a course, or otherwise using the Platform, you (“you” or “User”) agree to be bound by these Terms. If you do not agree, please do not use the Platform.
1. Eligibility and Accounts
You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account. You agree to provide accurate, current, and complete information during registration and to keep your account details up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised use of your account.
2. Course Access and Licence
Subject to your payment of any applicable fees and your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to access and view the course materials you have purchased for your own personal, non-commercial learning. Access is granted to the individual account holder only and may not be shared, resold, or transferred. Unless otherwise stated, course access continues for the period specified at the time of purchase, after which access may be revoked.
3. Payment, Fees, and Refunds
Fees for courses and memberships are displayed on the Platform at the time of purchase. All prices are inclusive of applicable taxes unless stated otherwise. Payment is processed through our third-party payment provider; you authorise us to charge your chosen payment method for the amount displayed at checkout. Except where required by law, all sales are final and fees are non-refundable once course content has been accessed. Refund requests submitted before any content has been accessed will be considered at our discretion and must be made within 14 days of purchase.
4. Continuing Professional Development (CPD)
Where a course is designated as eligible for CPD credit, the credit value stated reflects our good-faith assessment of the learning content. It is your responsibility to confirm with your professional body or regulator that the course satisfies their CPD requirements. We do not guarantee acceptance of CPD credits by any third-party organisation. Certificates of completion are issued only upon successful completion of all required course components.
5. Intellectual Property
All content on the Platform — including course videos, text, graphics, assessments, downloadable materials, logos, and software — is the property of Syllogi or its licensors and is protected by copyright, trade mark, and other intellectual property laws. You may not copy, reproduce, distribute, publish, display, modify, create derivative works from, or commercially exploit any content from the Platform without our prior written consent. Downloading materials for your personal offline study is permitted only where expressly indicated.
6. Acceptable Use
You agree not to: (a) share your account or course access with any other person; (b) record, screen-capture, or redistribute course content; (c) use the Platform to harass, abuse, or harm others, including instructors or fellow learners; (d) attempt to gain unauthorised access to any part of the Platform; (e) upload viruses or malicious code; or (f) use the Platform in any manner that violates applicable law. We reserve the right to suspend or terminate accounts that breach these rules without refund.
7. User Content
If you submit assignments, forum posts, comments, or other content to the Platform, you retain ownership of that content but grant Syllogi a worldwide, royalty-free, non-exclusive licence to use, host, display, and reproduce it for the purpose of operating and improving the Platform. You are solely responsible for the content you submit and warrant that it does not infringe the rights of any third party.
8. Disclaimers
The Platform and all course content are provided on an “as is” and “as available” basis. While we take care to provide accurate and up-to-date information, we make no warranties — express or implied — regarding the completeness, accuracy, reliability, or suitability of the content for any particular purpose. Course content is for educational purposes only and does not constitute professional, legal, medical, financial, or other regulated advice. You should not rely on course content as a substitute for advice from a qualified professional.
9. Limitation of Liability
To the maximum extent permitted by law, Syllogi, its directors, employees, and affiliates shall not be liable for any indirect, incidental, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Platform. Our total aggregate liability to you for any claim arising from these Terms or your use of the Platform shall not exceed the amount you paid us in the 12 months preceding the event giving rise to the claim.
10. Termination
You may terminate your account at any time by contacting us. We may suspend or terminate your account and access to the Platform, with or without notice, if you breach these Terms or if we discontinue the service. Upon termination, your right to access the Platform and any course content will cease. Sections concerning intellectual property, disclaimers, limitation of liability, and governing law will survive termination.
11. Privacy
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the practices described in the Privacy Policy.
12. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page and, where the changes are material, provide reasonable notice (for example, by email or on-Platform notice). Your continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
13. Governing Law and Disputes
These Terms are governed by the laws of [Insert Governing Jurisdiction], without regard to its conflict of laws principles. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of [Insert Jurisdiction].
